Effective November 4, 2026 · Version 1.0
These Broker Terms & Conditions ("Terms") govern your use of the VBC Associates Broker Portal (the "Portal") and every submission you make through it. "We," "us" and "our" mean VBC Associates and its affiliated companies, including MedHealth Clinical and the MedHealth ACCESS membership program. "You" and "Broker" mean the insurance agent, broker or agency representative submitting information through the Portal. By submitting any form on the Portal, you agree to these Terms on behalf of yourself and your agency.
1. The programs covered
The Portal supports two separate programs:
- VBC Associates – Ambetter Practice Assignment. Brokers may request that Ambetter members they serve be assigned to a primary care practice or provider in the VBC Associates network. Assignment requests are subject to health plan rules, practice capacity and our verification.
- MedHealth ACCESS – Client Referral. Brokers may refer individuals who are interested in MedHealth ACCESS, a direct primary care membership offered through MedHealth Clinical, so that our team can contact them about membership.
2. We do not sell insurance
Neither VBC Associates, MedHealth Clinical nor MedHealth ACCESS sells, solicits, quotes, compares, recommends or negotiates insurance of any kind through this Portal or otherwise. MedHealth ACCESS is a direct primary care membership, offered under a direct primary care agreement as described in Section 624.27, Florida Statutes. It is not health insurance, does not satisfy any requirement to carry health insurance, and does not pay for hospital, specialty, emergency or other care outside its membership benefits. Brokers must never describe MedHealth ACCESS as insurance or as a replacement for insurance coverage.
Any insurance-related activity, including advice, quotes, plan selection, enrollment and servicing, is performed solely by you, under your own licenses, carrier appointments and compliance obligations. We have no role in, and accept no responsibility for, that activity.
3. What you confirm with every submission
Each time you submit a form, you represent and confirm that:
- the information you provide about yourself, your agency and each individual is true, accurate and complete;
- you hold every license and appointment required for your activities in Florida, and they are active and in good standing;
- you have the individual's permission to share their information with us and for us to contact them by phone, text or email about the program; and
- you will not offer any customer cash, gifts or other inducements in connection with a submission.
For Ambetter practice assignments, you also confirm that you are the licensed agent or broker of record for each Ambetter member you submit, and that each member has asked for, or agreed to, the practice or primary care provider assignment you are requesting.
For MedHealth ACCESS referrals, you also confirm that you personally spoke with each customer you refer; that you presented MedHealth ACCESS to them as an alternative option for primary care, accurately and without guarantees about pricing, benefits or outcomes; that you explained it is a membership and not insurance; and that the customer agreed to be contacted by our team. A referral does not mean the customer has enrolled. Membership terms, pricing and eligibility are set only in the customer's MedHealth ACCESS membership agreement.
4. Your offers and customer grievances
Any statements, recommendations, offers, quotes or promises you make to a customer, and any complaint, grievance or dispute arising from them, are solely between you and that customer. We are not a party to your relationship with your customers and are not responsible for your conduct, advice or representations. If a customer contacts us about an issue with an offer or statement you made, we may refer the customer back to you, to your agency or to the appropriate carrier or regulator. You agree to resolve those matters directly and promptly.
5. Referral fees (MedHealth ACCESS only)
- Eligible brokers receive a referral fee of $25 per customer referred to MedHealth ACCESS through the Portal, subject to these Terms.
- A referral is eligible only when it is complete, accurate, made with the customer's consent, and not a duplicate of a customer already referred by you or another broker, or already known to us. Our records decide which referral came first.
- Fees are paid on the schedule and by the method we publish to participating brokers. You must provide a completed IRS Form W-9 before any payment. You are responsible for your own taxes.
- Referral fees are paid for the broker's referral services only. They are never shared with, passed on to, or used as an inducement for any customer.
- Ambetter practice assignments submitted through the Portal are not compensated.
- We may suspend, change or end the referral fee program at any time, and may withhold or recover any fee paid for a submission that does not meet these Terms.
- All referral arrangements are intended to comply with applicable law, including the Florida Patient Brokering Act (Section 817.505, Florida Statutes). We may change these terms at any time to keep the program in compliance.
6. How we use the information you submit
We use the information you submit only to process your request, contact the individuals you submit about the relevant program, assign members to network practices, verify submissions, administer and pay referral fees, keep records required by law, and track which agencies make submissions.
We do not sell, rent, trade or otherwise distribute your information or your customers' information to anyone for their own marketing. We share information only with the network practice an Ambetter member is assigned to, the member's health plan where needed to complete a PCP assignment, service providers who help us run our programs under confidentiality obligations, or where the law requires it. Health information is handled in line with HIPAA and applicable Florida privacy law.
7. Healthcare services
All clinical services are provided by independently licensed clinicians who use their own professional judgment. A submission does not create a patient relationship, guarantee an appointment, or guarantee acceptance by any practice or into MedHealth ACCESS. We and our network practices may decline any assignment or referral where permitted by law. Nothing on the Portal is medical advice. In a medical emergency, call 911.
8. Your relationship with us
You act as an independent business. These Terms do not make you an employee, agent, partner or joint venturer of VBC Associates, MedHealth Clinical or MedHealth ACCESS. You have no authority to make promises or agreements on our behalf. You may not use our names, logos or materials in advertising without our written approval.
9. Compliance
You agree to follow all laws and rules that apply to your activities, including Florida insurance laws, health plan and carrier marketing rules, telemarketing and consumer communication laws, privacy laws and anti-kickback laws. We may stop accepting submissions from any broker or agency that we believe has broken these Terms or the law.
10. Indemnification
You agree to defend, indemnify and hold harmless VBC Associates, MedHealth Clinical, MedHealth ACCESS and their owners, officers, employees, clinicians and network practices against any claims, losses, penalties and costs, including reasonable attorneys' fees, arising from your submissions, your statements or offers to customers, your insurance activities, or your breach of these Terms.
11. Portal provided "as is"; limitation of liability
The Portal is provided "as is" and "as available," without warranties of any kind. To the fullest extent permitted by law, we are not liable for any indirect, incidental, special or consequential damages, or for lost commissions or profits, arising from your use of the Portal. Our total liability to you for any claim relating to the Portal or the referral fee program will not exceed the referral fees paid to you in the three months before the claim.
12. Changes and termination
We may update these Terms at any time by posting a new version on the Portal. The version posted when you make a submission applies to that submission. We may suspend or end your access to the Portal or the referral fee program at any time.
13. Governing law
These Terms are governed by the laws of the State of Florida. Any dispute relating to them will be brought in the state or federal courts located in Florida, in the county where VBC Associates maintains its principal office.
